Welcome to Datatrixs, Inc. ("Company", "we", "our", "us"). These Terms of Service ("Terms") govern your use of our website at https://www.datatrixs.com/ and the Datatrixs financial intelligence platform (collectively, the "Service"). Our Privacy Policy also governs your use of the Service and is incorporated into these Terms by reference. By accessing or using the Service, you agree to be bound by these Terms. Datatrixs is a financial intelligence platform designed for multi-unit businesses. It consolidates data from connected accounting systems — including QuickBooks Online, NetSuite, Sage Intacct, and CSV exports — and provides financial reporting, cross-entity analysis, and AI-powered insights through Warren, our AI financial analyst. All accounting integrations use read-only credentials. Datatrixs cannot initiate transactions, modify records, or write to your accounting systems.
To access the Service, you must create an account. You must be at least 18 years old to create an account. You agree to provide accurate, complete, and current information and to keep it up to date. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Notify us immediately at info@datatrixs.com if you become aware of any unauthorized use of your account. We reserve the right to terminate accounts that violate these Terms.
Access to the Service is provided on a subscription basis. Subscriptions are billed in advance on a recurring monthly or annual cycle ("Billing Cycle") depending on the plan you select. At the end of each Billing Cycle, your subscription will automatically renew under the same conditions unless you cancel before the renewal date.
Payment is processed through Stripe, our third-party payment processor. You must provide a valid payment method to subscribe. By providing payment information, you authorize us to charge all applicable fees to that payment method.
You may cancel your subscription at any time through your account settings or by contacting us. Cancellation takes effect at the end of the current Billing Cycle. We do not provide refunds for partial periods, except where required by law.
We may offer a free trial period at our sole discretion. If a payment method is required to start a trial, you will not be charged until the trial ends. On the last day of the trial, unless you have cancelled, you will be charged the applicable subscription fee. We reserve the right to modify or cancel trial offers at any time without notice.
We may modify subscription fees at any time. Price changes take effect at the start of the next Billing Cycle following notice to you. We will provide reasonable advance notice of any price change. Your continued use of the Service after the change takes effect constitutes acceptance of the new fees.
You retain all rights to the financial data you connect to the Service. By connecting your accounting systems, you grant Datatrixs a limited, non-exclusive license to access, process, and display that data solely to provide the Service to you. We do not use your financial data to train machine learning models. We do not sell or share your financial data with third parties except as described in our Privacy Policy and as necessary to operate the Service.
You are responsible for ensuring you have the right to connect any accounting systems and share the associated data with Datatrixs. If your subscription ends, we will delete your financial data within 90 days, except where retention is required by law.
The Service includes Warren, an AI financial analyst that answers questions about your connected financial data. Warren's responses are generated based on your actual data and are intended to assist your analysis — they are not a substitute for professional financial, legal, or accounting advice. You should independently verify any material conclusions before acting on them. Datatrixs is not liable for decisions made based on Warren's output.
You agree not to use the Service to:
The Service and its original content, features, and functionality — including the Datatrixs name, logo, product design, and Warren AI system — are the exclusive property of Datatrixs, Inc. and are protected by copyright, trademark, and other laws. You may not use our trademarks or trade dress without prior written consent. Nothing in these Terms transfers any intellectual property rights to you.
The Service integrates with third-party accounting platforms (QuickBooks Online, NetSuite, Sage Intacct) and may contain links to third-party websites. We are not responsible for the content, privacy practices, or availability of any third-party service. Your use of third-party services is governed by their respective terms and policies.
If you submit feedback, suggestions, or ideas about the Service, you grant Datatrixs a perpetual, irrevocable, royalty-free license to use that feedback for any purpose without compensation or attribution to you. You acknowledge that Datatrixs is not obligated to treat feedback as confidential.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. DATATRIXS DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS, OR THAT ANY ERRORS WILL BE CORRECTED. YOU USE THE SERVICE AT YOUR SOLE RISK.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, DATATRIXS AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR YOUR USE OF THE SERVICE. IN NO EVENT SHALL DATATRIXS'S TOTAL LIABILITY TO YOU EXCEED THE AMOUNT YOU PAID TO DATATRIXS IN THE TWELVE MONTHS PRECEDING THE CLAIM.
We may suspend or terminate your access to the Service at any time, with or without notice, for conduct that we determine in our sole discretion violates these Terms or is harmful to other users, us, or third parties, or for any other reason. Upon termination, your right to use the Service ceases immediately. Provisions that by their nature should survive termination — including ownership, warranty disclaimers, indemnity, and limitation of liability — will survive.
These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions. Any dispute arising from these Terms or your use of the Service shall be resolved in the state or federal courts located in California, and you consent to the personal jurisdiction of such courts.
We may update these Terms at any time by posting the revised version on this page and updating the "Last updated" date. For material changes, we will provide reasonable notice via email or a prominent in-app notice. Your continued use of the Service after revised Terms are posted constitutes your acceptance of the changes.
Our failure to enforce any provision of these Terms does not constitute a waiver of that provision. If any provision of these Terms is found to be invalid or unenforceable by a court, the remaining provisions will remain in full force and effect.
